K-Gest Business Unit which deals of all the management world of the company, K.ai.r.o.s support the company during the phases determinants of the industrial development:

  1. Evolution of the cognitive image to the suppliers market through an Information Memorandum;
  2. Development of an internal investigation, or on a mandate, of a "target company" through a Due Diligence;
  3. Consequent Business Plans through which K.ai.r.o.s is able to gather financial strategic mass to support a possible acquisition operation;
  4. Management of criticality internal to the customer represented from ordinary operations business, in which case K.ai.r.o.s offers functions of Temporary Manager and Basic Administration (accounting and active – passive cycle).

Due Diligence
Identify an "investigative process" that is activated for analyzing a company in its essential operational areas, through which analyzes and presents in exhaustive way the corporate and organizational structure, the business and the market, the critical factors of success, the business strategies, the management and administrative phases, the economic and financial data, the fiscal and legal aspects, and the potential risks.

The DD is activated in the main segments evaluative:

  1. purchase and assignment of the company or of a branch;
  2. fusion and / or incorporation of company in its global or of a part of it;
  3. operations of indirect financial leverage (bonds, mezzanine ....);
  4. operations of direct financial leverage (entry on Private Equity, new member .....).

Business Plan
Planning document that gathers the development lines of a company or its specific business areas, which it’s composed by elements of financial and economic evaluation with whom we build the two pillars of the elaborate:

  1. Industrial Plan;
  2. Economic and Financial Forecast Budget.

Information Memorandum
An explanatory document of the Company which must represent in a exhaustive and evolutive way, the company and its members, through a mix of detailed information:

  1. introduction to the document;
  2. the business idea;
  3. the process of chain;
  4. the market context;
  5. the numbers of the sector;
  6. the project.

Very useful tool in operations of M & A or with Private Equity, but also to strategic suppliers (industrial as financial), it’s built “ custom – made” as the necessary of the entrepreneur

Temporary Manager
External Professional figure, flexible and temporary (from 3 to 12 months), called by the property:

  1. Start-up of projects or NewCo;
  2. Direction at project for specific business areas;
  3. Generational passage;
  4. Empty-managerial or alter ego of the property.
